Terms of Service

These Terms of Service ("Terms") govern your access to and use of the TrackStemLab website, audio stem-separation and music-transcription service (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who we are

The Service is operated by Aleksei Cheshkov, an individual entrepreneur registered in Georgia (registration number 145855232), with the principal place of business at Georgia, Kobuleti region, village Kveda Kvirike, 1st street, N 3, apartment N45 ("we", "us"). Contact: [email protected].

2. Eligibility and accounts

You must be at least 16 years old to use the Service. You are responsible for the security of your account credentials and for all activity under your account. You agree to provide accurate information and to keep it up to date.

3. Your content and rights

You retain all ownership of the audio files you upload and the stems and transcriptions (MIDI, Guitar Pro, MusicXML) generated from them ("Your Content"). You grant us a limited, worldwide, royalty-free license to host, process, transmit, and deliver Your Content solely to provide the Service to you and for no other purpose. We do not use Your Content to train AI models, and we do not sell it.

You represent and warrant that you own or have all necessary rights, licenses, and permissions to the audio you upload, and that uploading and processing it, and your use of the resulting stems, does not and will not infringe any third party's intellectual property, privacy, publicity, or other rights, or violate any law. You are solely responsible for the audio you upload and for how you use the resulting stems.

The Service is an automated tool. We do not select, monitor, pre-screen, or approve the audio that users upload, and we do not operate a library of, store long-term, or distribute copyrighted content. We act only as a neutral technical intermediary that processes the files you choose to submit. Uploaded files and generated stems are deleted automatically after the retention period described in our Privacy Policy.

4. Acceptable use

You agree not to:

  • upload content you do not own or do not have the right to process;
  • use the Service to infringe copyright, trademark, privacy, publicity, or other rights;
  • use the Service to create or distribute material that impersonates a person, clones a voice without authorization, or is intended to deceive, defraud, or mislead (for example, deepfakes or fraudulent endorsements);
  • circumvent, remove, or interfere with any technical protection or rights-management measures;
  • attempt to disrupt, overload, reverse-engineer, decompile, or gain unauthorized access to the Service or its underlying models;
  • circumvent usage limits, rate limits, anti-abuse measures, or security controls;
  • resell, sublicense, rent, lease, or otherwise commercially exploit the Service itself, or copy or create derivative works of the Service, without our prior written consent;
  • use the Service for any unlawful purpose or in violation of any applicable law.

5. Copyright and DMCA

We respect the intellectual property rights of others and respond to valid notices of alleged infringement. Our notice-and-takedown procedure, designated agent, counter-notification process, and repeat-infringer policy are described in our Copyright & DMCA Policy.

6. Payment, plans, and refunds

Some features require payment. Pricing, minute packs, subscriptions, automatic renewal, taxes, and our Merchant of Record are described on our Pricing page, and refund eligibility is described in our Refund Policy. Both are incorporated into these Terms.

7. Usage limits and minute balance

The Service provides a minute-based balance that is replenished daily up to a cap. Generation consumes minutes based on track length. We may change limits, grants, and caps over time. Minutes have no monetary value and are non-refundable except as described in our Refund Policy or as required by law.

8. Availability and changes

We provide the Service on an "as is" and "as available" basis. We may modify, suspend, or discontinue all or part of the Service at any time, and we may delete generated files after the retention period described in our Privacy Policy.

9. Disclaimer of warranties

To the maximum extent permitted by law, the Service is provided without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that separation results will meet your expectations.

10. Limitation of liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising out of or related to your use of the Service. Our total liability for any claim shall not exceed the amount you paid us, if any, in the 12 months preceding the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless the operator of the Service from and against any claims, demands, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) Your Content or the audio you upload; (b) your use of the Service or the resulting stems; (c) your violation of these Terms; or (d) your violation of any law or of the rights of any third party, including intellectual property and privacy rights.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or use the Service in a way that may cause harm or legal liability.

13. Governing law and disputes

These Terms are governed by the laws of Georgia, without regard to its conflict-of-laws rules. Any disputes shall be subject to the competent courts located in Georgia, unless mandatory consumer-protection law provides otherwise. The Service is operated from Georgia; if you access it from other jurisdictions, you are responsible for compliance with applicable local laws, and you may not use the Service where doing so is prohibited or where you are subject to applicable sanctions or export restrictions.

14. Time limit on claims

To the extent permitted by law, any claim or cause of action arising out of or related to the Service or these Terms must be filed within one (1) year after the claim arose; otherwise it is permanently barred.

15. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date above reflects the latest revision. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
